Contract Non-Renewal Notice Template and Examples

Use a practical non-renewal notice template while checking the deadline, delivery method, agreement reference, and evidence your contract requires.

A contract non-renewal notice tells the other party that you do not intend to continue the agreement into another term. The wording can be short. The difficult part is confirming that the notice is timely, addressed correctly, and delivered through a permitted channel.

The examples below are starting points, not legal advice or a determination that a notice is valid. Review the complete agreement, amendments, and applicable requirements before sending anything important.

Check the contract before using a template

Find the provisions governing term, renewal, and notices. Record each of these separately:

Swipe the table to view all columns.

ItemWhat to verify
Current agreementThe signed order form, master agreement, and amendments that apply
Renewal dateWhen the next term is due to begin
Notice periodHow far in advance notice must be given
DeadlineThe calculated final date, including any business-day or receipt rule
RecipientThe named party, role, and notice address
Delivery methodEmail, portal, courier, registered post, or another stated method
Required contentsAgreement reference, effective date, reason, or other specified information
EvidenceDelivery receipt, portal confirmation, or other record to retain

The renewal date and notice deadline are not the same thing. If the wording is unclear or the deadline is disputed, involve the appropriate contract reviewer.

Short non-renewal email template

Use this only after confirming that email is an accepted notice method and that the recipient is correct.

Subject: Notice of non-renewal — [agreement name or reference]

Hello [name],

This message provides notice that [customer legal name] does not intend to renew [agreement name or reference] for an additional term after the current term ends on [date].

Please confirm receipt of this notice and advise whether you require any reasonable administrative steps to close the account and arrange the return or export of our data.

This notice is provided in accordance with [section or clause reference].

Regards,

[authorised sender name, title, and contact details]

Avoid inserting a clause reference that nobody has verified. If the contract does not require a reason, decide internally whether giving one helps the relationship or creates an unnecessary debate.

Re: Notice of non-renewal — [agreement name, date, and reference]

Dear [name or title],

[Customer legal name] gives notice that it does not intend to renew the agreement identified above for a further term after the current term expires on [date]. This notice is given under [section or clause reference].

Please confirm receipt and provide the appropriate contact for any agreed transition, data return, final invoicing, or account-closure activities.

Sincerely,

[authorised signatory]

Keep the signed copy and delivery evidence with the agreement. A commercial discussion with an account manager may not replace the formal notice procedure.

Internal approval message

Before sending an external notice, obtain a documented decision from the business owner and approver.

Decision requested: Do not renew [vendor/service]

Current term end: [date]

Verified notice deadline: [date]

Proposed delivery method and recipient: [details]

Business impact and transition owner: [summary]

Approval needed by: [internal date]

An internal decision date should leave time for approval, legal review when needed, and permitted delivery. It does not change the contractual deadline.

What to do after sending the notice

  1. Save the final signed or sent version.
  2. Retain proof of dispatch, delivery, and receipt.
  3. Record any acknowledgement without assuming it changes the agreement.
  4. Assign owners for data export, access removal, final invoices, and replacement services.
  5. Check that recurring charges stop when expected.
  6. Keep the agreement record rather than deleting it from the contract register.

If the vendor proposes revised terms, treat that as a separate commercial decision. Compare the new proposal with the current agreement using the renewal quote comparison guide.

Put the notice into a controlled process

A template reduces drafting time, but it cannot identify the right deadline or notice route by itself. Record the source clause, owner, internal decision date, and delivery evidence in the same place.

Review the agreement and renewal quote in Renewly so the next decision starts with the documents and dates already organised.
